These Terms and Conditions govern access to and use of the public Wellness HR website. They do not replace a signed customer subscription, data processing, support, or service-level agreement.

1. Acceptance and scope

By accessing or using wellnesshrm.com, you agree to these terms. If you do not agree, do not use the website. If you use the website for an organisation, you represent that you have authority to act for it, and “you” includes that organisation.

Platform accounts and paid services are governed by the applicable order form, subscription or service agreement, data processing agreement, and incorporated policies. If those documents conflict with these website terms, the signed customer agreement controls for the paid service.

2. Eligibility

This business website is intended for people who can legally enter contracts in their jurisdiction. It is not directed to children under 16. Do not submit another person's information unless you have authority and a lawful basis to do so.

3. Permitted and prohibited use

We grant you a limited, revocable, non-exclusive, non-transferable right to view and use the website for lawful internal business evaluation and communication. You must not:

  • break any law, infringe rights, impersonate another person, or submit deceptive, unlawful, or harmful content;
  • probe, scan, bypass, or defeat security, authentication, access, rate, or use restrictions except with our prior written authorisation;
  • introduce malware, disrupt the website, overload infrastructure, or interfere with another user;
  • scrape, copy, frame, mirror, reverse engineer, or commercially exploit the website except where law expressly permits it; or
  • use website content, marks, or data to build a competing service or train a model without our written permission.

4. Website and product information

Website content is general information, not legal, tax, employment, payroll, security, or accounting advice. Features, integrations, availability, and pricing may change and may depend on configuration or location. Only commitments in a signed agreement are binding. You are responsible for evaluating whether the service and any configured workflow meet your legal and operational requirements.

5. Inquiries and communications

Submitting a form does not create a customer, employment, partnership, agency, fiduciary, or confidential relationship and does not require either party to enter a transaction. Do not submit trade secrets or confidential information through the public form. We handle personal information as described in the Privacy Policy.

6. Intellectual property

Wellness HR and its licensors retain all rights in the website, platform, software, visual design, documentation, text, graphics, logos, trademarks, and other materials. Except for the limited right in section 3, no licence or right is granted by implication, estoppel, or otherwise. You may not remove ownership or attribution notices.

7. Feedback and submissions

If you voluntarily provide product ideas or feedback, you grant Wellness HR a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or payment. This does not transfer ownership of your personal information or confidential material governed by a separate written agreement.

8. Third-party services and links

Links or references to third-party sites, services, or integrations are provided for convenience and do not imply endorsement. Third parties control their own content, availability, security, and privacy practices. Your use of them is subject to their terms.

9. Availability and changes

We may update, suspend, restrict, or discontinue any part of the public website at any time. We aim to keep information accurate and the website available but do not promise that public content is complete, current, uninterrupted, or error-free. Service availability commitments, if any, appear only in a customer agreement.

10. Disclaimers

To the fullest extent permitted by law, the public website and its content are provided “as is” and “as available.” Wellness HR disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Nothing in these terms excludes a warranty or right that applicable law does not allow us to exclude.

11. Limitation of liability

To the fullest extent permitted by law, Wellness HR and its affiliates, directors, personnel, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or loss of profit, revenue, goodwill, opportunity, or data, arising from the public website.

To the fullest extent permitted by law, aggregate liability arising from the public website will not exceed USD 100. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. Liability for paid services is governed by the signed customer agreement.

12. Responsibility for misuse

To the extent permitted by law, you will be responsible for reasonable losses, claims, and costs arising from your intentional unlawful use of the website, your material breach of section 3, or content you submit that infringes another party's rights. This provision does not apply to the extent a loss was caused by Wellness HR.

13. Governing law and disputes

Subject to mandatory rights that apply where you live, these website terms are governed by the laws of Nepal, without regard to conflict-of-law rules, and disputes relating solely to the public website will be submitted to the competent courts in Kathmandu, Nepal. A signed customer agreement may specify different law, venue, or dispute procedures for paid services.

14. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A delay in enforcement is not a waiver. You may not assign rights under these website terms without our written consent; we may assign them as part of a reorganisation or transfer of the website or business. These terms do not create third-party beneficiary rights.

15. Changes and contact

We may update these terms by posting a revised version and date. Changes apply prospectively when posted unless law requires additional notice. Continued use after that date means you accept the revised terms.
